PROGRAM,

EVENIFENTERASYSHASBEENADVISEDOFTHEPOSSIBILITYOFSUCH

DAMAGES.THISFOREGOINGLIMITATIONSHALLAPPLYREGARDLESS

OFTHECAUSEOFACTIONUNDERWHICHDAMAGESARESOUGHT.

THECUMULATIVELIABILITYOFENTERASYSTOYOUFORALLCLAIMS

RELATINGTOTHEPROGRAM,INCONTRACT,TORTOROTHERWISE,

SHALLNOTEXCEED

THETOTALAMOUNTOFFEESPAIDTO

ENTERAS YSBYYOUFORTHERIGHTSGRANTEDHEREIN.

8. AUDITRIGHTS. Youherebyacknowledgethattheintellectualpropertyrights

associatedwiththeProgramareofcriticalvaluetoEnterasysand,accordingly,

Youherebyagreeto maintaincompletebooks,recordsandaccountsshowing(i)

licensefees

dueandpaid,and(ii)theuse,copyinganddeploymentofthe

Program.YoualsogranttoEnterasysanditsauthorizedrepresentatives,upon

reasonablenotice,therightto auditandexamineduringYournormalbusiness

hours,Yourbooks,records,accountsandhardwaredevicesuponwhichthe

Programmaybedeployedtoverify

compliancewiththisAgreement,including

theverificationofthelicensefeesdueandpaidEnterasysandtheuse,copying

anddeploymentoftheProgram.Enterasys’rightofexamination shallbe

exercisedreasonably,ingoodfaithandinamannercalculatedtonot

unreasonablyinterferewithYourbusiness.Intheeventsuch

auditdiscovers

non‐compliancewiththisAgreement,includingcopiesoftheProgrammade,

usedordeployedinbreachofthisAgreement,Youshallpromptlypayto

Enterasystheappropriatelicensefees.Enterasys reservestheright,tobe

exercisedinitssolediscretionandwithoutpriornotice,toterminatethislicen s e,

effectiveimmediately,

forfailuretocomplywiththisAgreement.Uponanysuch

termination,YoushallimmediatelyceasealluseoftheProgramandshallreturn

toEnterasysthe ProgramandallcopiesoftheProgram.

9. OWNERSHIP. Thisisalicenseagreementandnotanagreementforsale.You

acknowledgeandagreethatthe

Programconstitutestradesecretsand/or

copyrightedmaterialofEnterasysand/oritssuppliers.Youagreetoimplement

reasonablesecuritymeasurestoprotectsuchtradesecretsandcopyrighted

material.Allright,titleandinterestinand totheProgramshallremainwith

Enterasysand/oritssuppliers.Allrightsnotspecificallygrantedto

Youshallbe

reservedtoEnterasys.
